Gaana News ("the Platform") is owned and operated by ForgedLink Ltd ("ForgedLink", "we", "us", "our"). By creating an account or otherwise using the Platform, you ("you", "your") agree to be bound by these Terms of Service ("Terms"). Please read them carefully. If you do not agree, you must not use the Platform.

1. Eligibility

You must be at least 13 years old to use the Platform. By registering, you confirm that you meet this requirement and that all information you provide is accurate, current, and complete. If you are using the Platform on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

2. Your Account

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately at legal@forgedlink.co.uk if you become aware of any unauthorised use of your account.
  • You may not transfer, sell, or share access to your account with any third party.
  • ForgedLink reserves the right to suspend or terminate any account that it reasonably believes has been compromised, or that is being used in breach of these Terms.

3. Content Standards

You are solely responsible for any content you post on the Platform. You agree not to post content that:

  • is false, misleading, or deliberately deceptive;
  • is defamatory, abusive, harassing, threatening, or discriminatory contrary to the Equality Act 2010;
  • infringes any third-party copyright, trade mark, or other intellectual property rights protected under the Copyright, Designs and Patents Act 1988 or equivalent legislation;
  • constitutes spam, unsolicited commercial communications, or contains malicious code;
  • violates any applicable law or regulation, including but not limited to the Computer Misuse Act 1990, the Defamation Act 2013, or any legislation in force in Ghana or Nigeria where the Platform is directed.

ForgedLink reserves the right to remove any content that violates these standards and to suspend or terminate accounts that repeatedly breach them, without prior notice and without liability to you.

4. Intellectual Property

All content, trade marks, and data on the Platform — including the Gaana News name and branding — are the property of or licensed to ForgedLink and are protected from infringement by local and international legislation, including the Copyright, Designs and Patents Act 1988.

You retain ownership of the content you post. By posting, you grant ForgedLink a non-exclusive, worldwide, royalty-free licence to use, store, display, and distribute that content solely for the purpose of operating and improving the Platform. This licence terminates when you delete the relevant content or close your account. Nothing in these Terms transfers your intellectual property rights to ForgedLink.

5. Advertising

Advertisers are solely responsible for ensuring their ad content complies with the UK Advertising Standards Authority (ASA) CAP Code, the Consumer Protection from Unfair Trading Regulations 2008, and all other applicable law. ForgedLink reserves the right to reject or remove any advertisement at any time without liability.

Consumer advertisers: Where you purchase advertising other than in the course of a business, you have a statutory 14-day right to cancel before the ad period commences under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Once the ad period has commenced at your express request, that right to cancel is lost and no refund is due unless ForgedLink has failed to deliver the service as agreed.

Business advertisers: Payments are non-refundable once the ad period has commenced, unless the Platform is unable to display the ad as agreed.

All prices are displayed inclusive of applicable VAT where VAT is chargeable.

6. Electronic Communications

By creating an account and accepting these Terms, you acknowledge that your electronic acceptance constitutes a legally binding agreement under the Electronic Communications Act 2000. Notices from ForgedLink will be sent to the email address registered on your account; it is your responsibility to keep this up to date.

7. Online Safety

ForgedLink is committed to keeping the Platform safe in line with the principles of the Online Safety Act 2023. We will take reasonable steps to prevent illegal content from appearing on the Platform and to protect users from harm. You can report content you believe to be illegal or harmful by emailing legal@forgedlink.co.uk. We will assess and action all reports within a reasonable timeframe.

8. Our Liability to You

ForgedLink does not exclude or limit its liability where it would be unlawful to do so. This includes liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation;
  • any breach of the terms implied by sections 3–5 of the Supply of Goods and Services Act 1982; and
  • any other liability that cannot be excluded or limited under applicable law.

Subject to the above, the Platform is provided on an "as is" and "as available" basis. ForgedLink makes no representations or warranties of any kind, express or implied, as to the accuracy, reliability, or completeness of any content on the Platform. We are not responsible for the accuracy of user-submitted content.

To the maximum extent permitted by law, ForgedLink's aggregate liability to you for any losses arising under or in connection with these Terms — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the greater of:

  • (a) the total fees paid by you to ForgedLink in the 12 months immediately preceding the event giving rise to the claim; or
  • (b) £500.

ForgedLink shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including loss of revenue, loss of profits, loss of business, or loss of data, howsoever arising. If you are a consumer, these Terms do not affect your statutory rights under the Consumer Rights Act 2015.

9. Data Protection

ForgedLink processes your personal data as data controller in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details of how we collect, use, retain, and protect your data, and how to exercise your rights, are set out in our Privacy Policy. For data-related enquiries, contact legal@forgedlink.co.uk.

10. Changes to These Terms

ForgedLink may update these Terms from time to time. Where changes are material, we will provide at least 14 days' notice by posting a notice on the Platform or by email to your registered address. Continued use of the Platform after the notice period constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you may close your account at any time by contacting legal@forgedlink.co.uk.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that:

  • consumers resident in Scotland may bring proceedings in the Scottish courts; and
  • consumers resident in Northern Ireland may bring proceedings in the Northern Irish courts.

ForgedLink is committed to resolving complaints fairly and promptly. If you have a complaint, please contact us first at legal@forgedlink.co.uk. If we are unable to resolve the matter, you may refer your complaint to an approved Alternative Dispute Resolution (ADR) scheme or to the relevant Ombudsman service where applicable.

12. General

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Failure by ForgedLink to enforce any provision of these Terms shall not constitute a waiver of the right to enforce it in the future.
  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ForgedLink in relation to your use of the Platform and supersede all prior agreements.
  • Third parties: These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
